THE CONSTITUTION OF IBADAN GOLF CLUB – 2020

ARTICLE1: IDENTIFICATION

The Club shall be named Ibadan Golf Club. It shall be a private members’ club.
The address of the Club shall be: Links Reservation, Onireke GRA, Ibadan, Oyo State of Nigeria.
The Club shall have a logo as approved at an Annual General Meeting.
The Club shall have a flag conspicuously showing the logo of the Club as approved at an Annual General Meeting.
The Club shall have an Anthem in the following words:

ARTICLE 2: OBJECTIVES
The main object for which the club is formed is to encourage and promote the playing of the game of golf including the following;
2.1 To affiliate with golfing bodies in Nigeria such as Golf Union of Nigeria (GUN) and Nigeria Golf Federation (NGF).
2.2 To promote recreational and social interest of members.
2.3 To promote inter-ethnic and inter-racial understanding among members.
2.4 To maintain reciprocal relationship with local and international golf clubs by promoting interclub match plays thus encouraging social interaction.
2.5 In pursuance and in furtherance of the above, the club shall have power to do all such other things as may enable the Club to attain its main objective.

2.6 Any other objective as approved at an Annual General Meeting.

ARTICLE 3: TRUSTEES OF THE CLUB
3.1 Subject to the ratification of the Annual General Meeting, the Executive Committee is empowered to appoint Trustees.
3.2 Such appointment shall be ratified upon two- third (2/3) votes of members present at the Annual General Meeting in support of the recommended candidate(s)
3.3 Trustees (hereinafter referred to as “The Trustees”) shall be at least five (5) and not more than twelve (12) in number and shall be known as “THE INCORPORATED TRUSTEES OF IBADAN GOLF CLUB” in accordance with the provisions of Part C of the Companies and Allied Matters (CAMA), L.F.N. 2004, CAP. C.20 as may be amended from time-to-time.
3.4 The Trustees shall have powers to sue and be sued on behalf of the Club
3.5 To be eligible for appointment as a trustee, the candidate must be a member of the Club and shall be of impeccable character. He must have contributed to the growth and development of the Club for a minimum period of ten (10) consecutive years.
3.6 A Trustee shall cease to hold office if he:
.1 ceases to be a member of Ibadan Golf Club.
.2 resigns his office
.3 becomes incapacitated
.4 is officially declared bankrupt
.5 is convicted of a criminal offence
involving dishonesty by a court of
competent jurisdiction.
.6 is recommended for removal from office
by a two-thirds (2/3) majority vote of members present at an Annual General Meeting of the club.
.7 ceases to reside in Nigeria
3.7 Upon a vacancy occurring in the number of
Trustees, the Executive Committee shall fill the vacancy subject to the ratification of the Annual General Meeting as provided in (3.2) above.
3.8 All properties of the Club, freehold or leasehold, or other interest in land acquired for the use and benefit of the Club shall be vested in the Trustees
3.9 The Trustees shall deal with the property of the Club as directed in writing by a resolution of the Annual General Meeting

3.10 The powers vested in the Trustees by or under CAMA shall be exercised subject to the directives of the General Meeting
3.11 Any documents required to be executed by the Trustees shall be sufficiently executed if signed by any five (5) of such Trustees and sealed with the common seal of the Club subject to approval at the Annual General Meeting of the Club
3.12 The Trustees shall hear any appeal from aggrieved member(s) and their decision shall be final, save for expulsion.
3.13 The Trustees shall meet at least twice annually to review the progress of the Club and make recommendations to the Executive Committee of the Club.

ARTICLE 4.1 Eligibility for Membership
.1 Membership of the Club shall be open to all individuals of impeccable character that are not below the age of 18 years.

.1 Ordinary Members
.1 An Ordinary Member shall have the rights and privileges to the use of the clubhouse and where he does not possess a handicap; he must have an established handicap within six (6) months of his admission and failure will result to his membership being reviewed.
.2 To obtain a handicap, he shall take adequate golf lessons from the club resident golf professional or his assistants and participate in at least three (3) organised club competitions.
.3 He shall have the right to vote or be voted for into any elective office, subject to the provisions of this constitution.

.2 Military Members
Serving officers and members of the Armed Forces, Retired Officers and discharged members of the Armed Forces including the Nigeria Police, who reside in Ibadan, may apply to be considered for Military Membership of the Club.
Such Military Members shall enjoy similar privileges as Ordinary Members as soon as they obtain and maintain a handicap.
.3 Lady Members
Lady members shall comprise of female members in all categories of membership.
.4 Country Members
Any eligible person living outside a radius of 100 kilometres from Ibadan, may apply for country membership. Such members shall be entitled to all privileges of Ordinary Members save that;
.1 they cannot vote or be voted for
.2 they shall not be entitled to win a prize in any club organised
competition, except at Club kitties.

.5 Associate Members
Any person who is a religion clergy either serving or retired may apply to be an Associate Member. An Associate Member shall be subject to the condition herein specified.
.1 He cannot vote or be voted for
.2 He shall not be entitled to win a prize in any club organized competition,
except at Club kitties.
.6 Honorary Members
Any person, who has rendered special services to the club, may on the recommendation of the Executive Committee to the Annual General Meeting be appointed as Honorary Member;
.1 The appointment shall be approved by a two-thirds (2/3) majority of members present and voting at an Annual General Meeting.
.2 They cannot vote or be voted for
.3 They shall not be entitled to win a prize in any club organised
competition, except at Club kitties.
.7 Junior Members
Children of Ordinary Members must be registered with the Club.
.1 Children and wards of Ordinary
Members who are aged between 5 to 18years receiving full education in Nigeria or overseas shall be classified as Junior Members.
.2 A Junior Member will not be required to pay an entrance fee and cannot vote and be voted for.
.3 If over 15years of age, he may aspire to possess a handicap and may represent the club in competitions.
.4 It is the responsibility of the parents to ensure that their wards are of good behaviour.
.8 Temporary Members
Any eligible person who is not resident in Ibadan but is visiting, for a period not exceeding three (3) months may become a temporary member; subject to his application being approved by the Executive Committee.

.1 A Temporary Member will be required to pay a specified fee as may be determined by the Executive Committee
.2 Such membership is limited to a maximum of three (3) months, in a calendar year.
.3 They cannot vote or be voted for
.4 They shall not be entitled to win a prize in any club organised
competition, except at Club kitties.
.9 Life Members
.1 The Executive Committee may on application by an Ordinary Member who has attained the age of Seventy (70) years and who has continuously been a paid-up of the Club for a period not less than twenty (20) years recommend such a member to the Annual General Meeting (AGM) for approval as a Life Member.
.2 He shall on approval, no longer be required to pay an annual subscription, except levies and other fees.
.3 He shall enjoy all the rights and privileges of an Ordinary Member.

Corporate Members
.1 Shall be for a maximum of five (5) top management staff of any verifiable corporate body
.2 They cannot vote or be voted for
.3 They shall not be entitled to win a prize in any club organized
competition, except at Club kitties
.4 The enlisted staff shall cease to enjoy the services of the Club upon his/her
disengagement from the company.
APPLICATION FOR NEW MEMBERSHIP
The application for Membership of the Club shall be made on the form prescribed for that purpose.
The applicant shall be proposed by a financial member of the club of not less than three (3) years, who is personally acquainted with the candidate. The proposal shall be seconded by a member of the same standing as the member proposing.
All completed application forms shall be displayed on the main Notice Board for a period not less than twenty-one (21) days for the comments of members.
.2 Members may raise objections in writing against the membership of an applicant based on the proved allegation(s) which shall be sent to the Membership Sub- Committee
.3 If the Membership Sub-Committee is satisfied on a balance of probability, that the petition has merit, it may refuse to recommend the applicant for admission.
5.3 All applicants for membership who must have paid the non-refundable Administrative and Training fees shall go through a screening interview conducted by the Membership Sub- Committee.
5.4 The Screening/Interview shall be conducted quarterly by the Membership Sub-Committee.
5.5 At least one of the Members proposing and seconding the applicant shall accompany the applicant when he is appearing for the interview before the Membership Sub- Committee
5.6 An applicant who has been refused admission may re-apply after six (6) months if the grounds for his refusal have been addressed.
5.7 Upon admission, a new member shall pay his membership fee and any other prescribed

fee(s) within fourteen (14) days; failing which
his admission shall become forfeited.
5.8 The Honorary Secretary shall keep a register of rejected applications under (5.6) above stating clearly reason for the rejection and all
other relevant information.

ARTICLE 6: RIGHTS AND OBLIGATIONS OF MEMBERS
6.1 Every member except Life Members shall pay such fees and levies as may be prescribed from the time at a General Meeting of the Club.
6.2 Upon admission, a member shall be entitled to the use of the facilities of the Club and shall be obliged to:
.1 abide by the provisions of this
Constitution, the Rules, Bye-Laws and Etiquettes of the Club, as well as the decisions and directives of the Executive Committee, lawfully made under this Constitution.
.2 promote the aims and objectives of the Club loyally and to refrain from pursing any cause of action that will be inconsistent with or inimical to the interest of the club.
.3 any promotion of any interest against the interest of the Club shall be sanctioned with suspension or revocation of membership.

 

ARTICLE 7: USE OF CLUB FACILITIES
7.1 Members shall not remove any club property from the premises of the club without the prior approval of the Executive Committee.
7.2 Member shall not bring pets into the club premises or golf course.

 

ARTICLE 8: GUESTS
8.1 There shall be a register for the guests of members which shall be placed at the reception of the club.
8.2 A guest shall not be permitted entry into the club premises except on the invitation of a financial member.
8.3 The member shall sign his/her guest in the said register.
8.4 For the purposes of this provision, signing-in the guest shall imply:-
.1 entering the name of the guest in the register of guests.
.2 payment of the prescribed guest fee.
.3 an undertaking of responsibility for the behaviour of the guest whilst within the
Club premises.
8.5 There is no limit to the number of times a guest may be invited by a member provided the prescribed conditions (in 8.4.1-.3) have been fulfilled.
8.6. The Captain may invite guests without payment of the prescribed guest fees.
8.7 A member shall not sign in more than four (4) guests at a time.
8.8 Any child under the age of 18 years shall not be allowed to remain at the club pavilion or premises after 8.00 pm
8.9 All guests must be decently dressed.

ARTICLE9. SUSPENSIONORRESIGNATIONOF MEMBERSHIP
9.1 Any member may voluntarily in writing, addressed to the Secretary of the Club suspend his membership in the event of his leaving the shores of Nigeria or being unable to participate in the club activities. Such person shall be excused from paying an annual subscription or any other relevant fees for the period of his absence.
9.2 A member may at any time by giving notice in writing to the Secretary resign his membership of the Club. Such member shall continue to be liable for any annual subscription due and unpaid at the date of his
resignation.
9.3 Upon resignation, the member shall forfeit all his or her rights/privileges.

ARTICLE10: GRANDPATRONANDPATRONS
0.1 Grand Patron
The Grand Patron of the club shall be the General Officer Commanding 2 Division Nigeria Army.
.1 He shall be the custodian of the land
upon which the clubhouse is built.
.2 He shall liaise with the Incorporated Trustees of the Club in matters affecting
the Club.
.3 He shall appoint the Vice-Captain of the Club who shall be a serving Military
Officer.
10.2 Patrons:
The Patrons of the Club shall be maximum of six (6), appointed at the Annual General Meeting of the Club
.1 shall serve in an advisory capacity to the
Board of Trustees (BOT) of the club.

ARTICLE 11: MANAGEMENT OF THE CLUB
There shall be an Executive Committee which shall be responsible for the management of the affairs of the club in accordance with the powers as conferred under this Constitution and such general or special directives as may from time to time be given at any General Meeting. The Executive Committee shall comprise of the under listed officers of the club
1. The Captain
2. Vice-Captain
3. 2nd Vice-Captain
4. Secretary
5. Treasurer
6. Course Officer
7. Competition Secretary
8. Handicap Officer
9. House and Bar Officer
10. LadyCaptain
11. Ex-Officio
11.1 The Executive Committee, in addition to the powers hereinafter conferred upon it, shall have the control of the finances of the club, the power to engage, control and dismiss the club’s employees and all such administrative powers as may be necessary for properly carrying out the objects of the
Club in accordance with the Constitution.
11.2 The Executive Committee shall have powers to make Rules, Bye-Laws, Etiquettes and
Code of Conducts for the Club
11.3 Meetings of Executive Committee shall be
called by the Honorary Secretary and will be at least once a month, or at such time as the Captain may direct.
11.4 The Honorary Secretary shall give reasonable notice of such meeting, save in case of emergency.
11.5 Six (6) members of the Executive Committee shall form a quorum at any of their meetings.
11.6 Minutes of the meeting of the Executive Committee shall be properly recorded and kept by the Honorary Secretary and shall be made available to any member on request in writing and shall also be displayed on the notice board within seven (7) days of its adoption.
11.7 The term of office of an Executive Committee shall be from 1st of April of any year to 31st March of the following year.
11.8 Any member of the Executive Committee who is absent from three (3) consecutive meetings of the committee, without an apology shall be deemed to have vacated office and his office shall be declared vacant.
11.9 In the event that there is a vacancy, the Executive Committee may co-opt any member to act subject to ratification at the next General Meeting and where such co-opted member is rejected, the members at the General Meeting shall appoint any Ordinary Member to occupy the post so declared vacant.
11.10 Any casual vacancy in the Executive Committee shall be filled by the Committee and any member so co-opted shall vacate office upon the return of the substantive officer.
11.11 The Executive Committee shall also be responsible for the screening/interview of sub-committee for new members. The 2nd Vice-Captain shall be the chairman of the Sub-Committee.
.1 To be eligible as a member of the Membership Sub-Committee, such member must have been a member of the Club for at least five (5) years prior to his appointment.

Save for the Vice-Captain who shall be appointed by the Grand Patron (the GOC 2 Division), all other officers of the club shall be elected by ballot as provided for in Article 15 of the Constitution. They shall hold office from 1st April of any year to 31st March of the following year.
ARTICLE 13: QUALIFICATION FOR MEMBERSHIP OF THE EXECUTIVE COMMITTEE
13.1 Office of the Captain
To qualify to run for the office of the captain of the club such a person shall:

.1 be educated to at least First Degree (Bachelor)/HND and must be gainfully employed or have a known means of income.
.2 be a financial member for not less than eight (8) years.
.3 be an Ordinary Member with an established handicap of eighteen (18) and below.
.4 be able to interpret and understand the applications of the rules and etiquettes of the game.
.5 not be less than thirty (30) years of age and of good character.
.6 have served in previous Executive Committee for at least three (3) years as an officer.
.7 have taken part in organized tournaments/ competitions in not less than five (5) clubs in Nigeria.
13.2. 2ND Vice-Captain
Same as for office of the Captain
13.3 Office of Lady Captain
To qualify to run for the office of the Lady Captain, such a person shall

.1 have a minimum qualification of First Degree (Bachelor)/HND.
.2 have been a financial member of the club for a period of not less than four (4) years and fully paid-up member.
.3 be a lady golfer of good standing who must be a paid-up member with an established handicap of 28 and below.
.4 have actively served in the executive committee of the ladies section.
.5 must have taken part in at least four
(4) organised ladies open tournaments/competitions in Nigeria.
In the event of no candidate fulfilling (13.3.1 – .5) above, a caretaker committee shall be appointed by the Executive Committee to run the affairs of the Ladies Section until the next election is due.
13.4 Other Officers
Any person who intends to contest for other offices must be a paid-up member of not less than five (5) years standing in the Club. In the case of the Hon. Treasurer, he shall preferably have an accounting background and flair for figures.

 

ARTICLE 14: THE RESIDENT GOLF PROFESSIONAL
The Executive Committee shall appoint a Resident Golf Professional.
14.1 Qualifications
.1 Be educated to at least School Certificate level and must be able to communicate fluently.
.2 He is not less than thirty (30) years of age at the time of appointment.
.3 He must be a member of PGAN (Professional Golf Association of Nigeria) for a minimum of five (5) years.
.4 Must be prepared to promote the aims and objectives of the club and refrain from pursing any cause of action as may be inconsistent of the club or members.
.5 Shall be willing to abide by the provisions of the Constitution of the club, its Rules and Etiquette, as well as the decisions and directives of the Executive Committee.
14.2 Duties and Responsibilities
.1 The Resident Golf Professional shall devote his time for the performance of his duties. He shall not be engaged in any other gainful employment outside Ibadan Golf Club.
.2 He shall maintain a shop for sale of golf equipment and accessories.
.3 He shall pay a fee approved by the Executive Committee for the use of the shop provided.
.4 Subject to the approval of the Executive Committee he shall employ the services of assistants who shall be members of PGAN (Professional Golf Association of Nigeria).
.5 Shall at the request of the Executive Committee assists the Committee in club organized competitions or in other areas where his services may be required.
.6 The Resident Golf Professional and his assistants must carry valid identity card and possess Golfer’s Insurance Policy.

ARTICLE 15:
15.1 Appointment of Electoral Committee
.1 An Electoral Committee consisting of not less than five (5) members shall be

appointed at a General Meeting of the Club.
.2 The Electoral Committee shall be
solely responsible for the arrangement and proper conduct of the election for which it is appointed.
.3 The Electoral Committee shall ensure that the qualifications prescribed in Article 13 of this Constitution are possessed by all candidates.
15.2 Electoral Process
.1 The Executive Committee shall provide all the requirements of the Electoral Committee for the conduct of the election.
.2 The Electoral Committee shall make rules and regulations for the conduct of the election. Any candidate who flouts these rules shall be disqualified.
.3 Election of Officers of the Club shall be held in the last week of March of every year.
.4 For the purpose of any election the Electoral Committee shall publish a notice placed on the Club’s Notice Board for a period not less than twenty-one (21) days before the election date inviting interested members to apply.
.5 Submission of duly completed forms shall close seven (7) days prior to the date of the election.
.6 A list of names in alphabetical order shall be affixed to the notice board at least five (5) days before the Election Day
.7 Any applicant applying for a position shall be proposed and seconded by fully paid-up members.
.8 The Electoral Committee shall arrange a forum night which shall be held before the Election Day.
.9 All applicants must participate in the exercise in accordance with the laid down guidelines of the Electoral Committee.
.10 A member who intends to contest for election in the Executive Committee must be a paid-up member of not less than five (5) years standing in the club, save for the Captain and 2nd Vice-Captain.

.11 Only paid-up members of the Club shall be entitled to vote at the elections.
.12 All elections shall be by secret ballot and the candidate with the highest number of votes in the election shall be declared the winner.
.13 If two or more candidates obtain an equal number of votes, the Electoral Committee shall order a re-run within seven (7) days and the candidate with the highest number of votes shall be declared the winner.
.14 The Electoral Committee shall ensure that ballot papers are produced containing only the names of the contesting candidates.
.15 Appeal(s)against the decision(s)of the Electoral Committee shall be heard by the Board of Trustees (BOT), whose decision shall be final.

ARTICLE16: TENUREOFOFFICE
16.1 The tenure of office of the officers of the Club shall be one (1) year at a time, that is to say, twelve (12) calendar months commencing from 1st April each year and ending on 31st March of the succeeding year, but officers of the Club shall be eligible for re-election for another term to make for a maximum of two consecutive terms.

ARTICLE 17: DUTIES AND POWERS OF THE MEMBERS OF THE EXECUTIVE COMMITTEE
17.1 Captain
.1 Shall have the overall responsibility for the control and management of the club.
.2 Shall preside over the meeting of the Executive Committee and all other meetings of the club as well as social and golfing activities.
.3 Shall have a vote at such meeting(s) and in the event of a tie, he shall have a casting vote.
.4 Shall be a signatory to the account of the Club.
17.2 Vice-Captain
.1 Shall act as Captain in the absence of the Captain.
17.3 2nd Vice-Captain
.1 Shall act as Captain in the absence of the Captain and Vice-Captain.

.2 Shall be responsible for the training, welfare and development of the caddies;
.3 Shall act as the Chairman of the Membership Sub-Committee.
17.4 Honorary Secretary
.1 Shall be the Chief Administrative Officer of the Club.
.2 Shall have the custody of the seal and all documents of the Club.
.3 He shall produce the minutes of all proceedings (Executive Committee,
Half Yearly, Emergency, Annual General Meetings) and posted on the Club, Notice Board within one week of such meeting(s)
.4 He shall be in charge of the Secretariat of the Club.
.5 Shall perform such other duties as may be assigned by the Executive Committee.
.6 He shall not employ or dismiss a member of staff without the approval of the Executive Committee.

17.5 The Treasurer
.1 Shall be the Chief Accounting Officer.
.2 Shall keep the accounts of the club.
.3 Shall prepare and submit monthly
statements of accounts to the Executive Committee which shall be displayed on the Club’s notice board at the end of each month.
.4 Shall present to the members the financial position of the club at a Half Yearly General Meeting and the Audited Accounts of the Club at the AGM.
.5 Shall be a signatory to all accounts of the Club
17.6 Lady Captain
.1 Shall be the head of the Ladies Section of the Club.
.2 Shall organise and coordinate the affairs of the Ladies Section.
.3 Shall preside over meetings of the Executive Committee of the Ladies Section and at all General Meetings of the Section
.4 Shall preside at the social and golfing activities of the Ladies Section and at

all Ladies competitions held in the
Club.
.5 Shall initiate and organise a
tournament under the auspices of
LGAN
.6 Shall ensure that all facilities for the use of the Ladies is in good condition.
17.7 The House and Bar Officer
.1 Shall be responsible for the smooth operation and maintenance of the Clubhouse and premises.
.2 Shall be responsible for organising all social activities of the club.
.3 Shall be responsible for the procurement of adequate stock of drinks and such other items required at the bar and in the kitchen.
.4 Shall maintain on a regular basis a record of receipts and issued stock
.5 Shall ensure regular stock taking and provide monthly and quarterly report(s) to the Executive Committee.

17.8 The Course Officer
.1 Shall be responsible for the management and maintenance of the golf course and equipment.
.2 Shall be responsible for the recruitment of Course worker with the approval of the Executive Committee.
.3 Shall make requisition for purchase of course materials, other than machinery and equipment as may be approved from time to time by the Executive Committee
.4 Shall forward to the Executive Committee on a monthly basis an inventory of all machinery and equipment coupled with a report on the state of each of them.
.5 No purchases nor repairs in excess of N25,000.00 can be affected by the Course Officer without the approval of the Executive Committee.
.6 Shall provide a monthly/ quarterly report of his activities to the Executive Committee.

17.9 Competition Secretary
.1 Shall be responsible for the organisation of all competitions in the Club as approved by the Executive Committee
.2 .1 Compile the results of any competition
.2 Organize the draws and compute the cards after play.
.3 Prepare a competition calendar to be posted on the notice board in advance
.3 Shall source for competitions to keep the club busy and in concert with other members of the Executive Committee, ensure that non-financial members are not allowed to take part in competitions.
17.10 Handicap Officer
.1 Shall be responsible for the update of members’ handicaps in accordance with the international rules on handicapping.
.2 Shall provide an update of members’ handicaps which must be displayed on the notice board at the beginning of
each month.
.3 Shall be bound by the rules pertaining
to the Standard Scratch Score (SSS) and handicap system approved by the Royal and Ancient Golf Club of St Andrews and United States of America Golf Association.

ARTICLE18: LADIES SECTION
18.1 .1
There shall be a Ladies Section which comprises of all lady members of not less than eighteen (18) years of age.

.2 The Section shall be affiliated to the Ladies Golf Union and under the Ladies Golf Association of Nigeria (LGAN)
.3 The Executive Committee of the club shall assist and encourage the ladies section and from time to time liaise
and organise joint events and activities.
There shall be Ladies Executive Committee which shall comprise:
Lady Captain (who shall be the head of the Section) and

1. Vice Lady Captain
2. Hon. Lady Secretary
3. Lady Treasurer

The above Committee shall be duly elected during the meeting specifically called for the election of the officers of the Ladies Section with the exception of the Lady Captain who would have been duly elected at the Club’s General Elections.
18.3 All activities, actions and decisions taken by the Ladies Section must be subject to and consistent with the Ladies Golf Association of Nigeria (LGAN) Constitution and Rules.
18.4 In the event of the office of the Lady Captain becoming vacant; the Vice Lady Captain shall act in her place and if she is unavailable, Lady Members shall appoint one of their members to fill the vacancy.
18.5 The Executive Committee of the Club reserves the right to inspect the accounts of the Ladies Section and take appropriate action where necessary.
18.6 Any unresolved issue among the Ladies Section should be referred to the Executive Committee of the Club.
18.7 The Accounts of the Ladies section must be audited annually along with the General Accounts of the Club.

ARTICLE19: FINANCE
19.1 The Club shall maintain the following accounts:
1 General Account
2 Investment Account
3 Fixed Deposit account
4 Capital Projects Account
5 Any other account that may be
expedient, subject to the approval of the AGM
The signatories for the aforementioned accounts shall be the Captain, Secretary and Treasurer.
Two signatories are mandatory.

19.2 The funds of the Club shall be raised from the following sources:-
1 Application and Admission Fee
2 Administrative and Training Fee
3 Annual Subscription
4 Special Contributions/Levies.
5 Entertainments, Donations, etc.
6 Grants.
7 Income from Bar Sales.
8 Income from Competition
9 Rents accruing from the kitchen.
10 Fines and Guests Fees
11 Green Fees.
12 Any other Income.
19.3 Sources of Income for the Fixed Deposit Account
.1 It shall be mandatory for every Executive Committee to transfer a minimum of 10% of gross earnings to the Fixed Deposit Account during their term in office
.2 Any other monies as directed by the Annual General Meeting.
.3 At no point shall the Capital invested be spent by the Club; however, the Interest on the Capital invested shall be available for the club use.

ARTICLE20: SUBSCRIPTIONS
20.1 Members shall pay subscriptions and other levies which may be prescribed and approved by the AGM from time to time and be caused to be displayed on the notice board of the club and also communicate to members within a reasonable time.
20.2 Subscription, other than those of temporary members, shall be payable annually in advance and shall be due on 1st April of every year, provided that a member may elect to pay his/her subscription half-yearly in advance.
20.3 .1
Any member whose subscription is unpaid by three (3) months after due date shall be sanctioned and shall be so advised in writing.
20.4 .1
Any member who fails to pay his/her subscription and levies by the end of the financial year stands suspended.
.2 Such member shall not be allowed the use of the club’s facility, until such time when all outstanding amounts against him or her have been paid.

.2 Any member who fails to pay his/her subscriptions and levies for three (3) consecutive years shall have his/her membership revoked. This will not be applicable to any member who has given notice of his/her absence in writing to the Club Executive Committee.
.3 Such person(s) in line with sub-section (20.4.2) above, may re-apply in writing to the Executive Committee for reinstatement. The Executive Committee may approve such reinstatement upon full payment of all outstanding subscriptions and levies, on such terms and condition as it may deem fit.
20.5 Annual subscription which is payable in advance shall run for twelve months but shall be approximately apportioned to the financial year, to which they relate e.g. a new member who joins in the course of the year shall have his/her twelve (12) months subscription apportioned on a pro-rata basis.

 

ARTICLE 21: FINANCIAL YEAR
The Financial Year shall be from 1st April to 31st March of the succeeding year.

 

ARTICLE22: EMERGENCYEXPENDITURE
22.1 The Captain shall have the power to approve a maximum of one hundred thousand (N100,000) Naira only in case of emergency without recourse to the Executive Committee and this must not exceed three (3) times in a year.
22.2 He must seek approval of the Executive Committee for any financial spending above one hundred thousand (N100,000) Naira only

 

ARTICLE 23: INTERNAL AUDIT COMMITTEE
There shall be an Internal Audit Committee of five (5) members who shall be appointed at the Annual General Meeting, of which at least two (2) members are knowledgeable in Finance/Accounting field. The Audit Committee shall verify the Audited account of the club and submit a report to the Executive Committee before the Annual General Meeting.

 

ARTICLE 24: APPOINTMENT OF AUDITORS
24.1 The Club shall appoint reputable Professional Auditors who shall audit the annual statement of account and balance sheet of the Club. The power to appoint or remove the external auditor is vested on the AGM.
24.2 The Audit Report must be submitted during the 1st week of April.
ARTICLE25: BUDGET
25.1 A new Executive Committee must present its budget within four (4) weeks of being elected.
25.2 The budget shall be presented at an Extra-Ordinary General meeting called for the purpose and discussed for approval.
ARTICLE26: GREEN FEES
Green fees shall be determined by the Executive Committee from time to time
ARTICLE 27: ANNUAL GENERAL MEETING
27.1 The Annual General Meeting of the Club shall be held each year by the last week of March. Twenty-five (25) fully paid-up members shall form a quorum, and all resolutions shall by a simple majority.
27.2 The Executive Committee shall call an Extra-Ordinary General Meeting when any question of urgent importance shall arise, and shall be bound to do so on receiving a written requisition signed by at least fifteen (15) paid-up members of the Club
27.3 A notice for any Annual General Meeting shall be placed on the Club’s notice board not less than twenty-one (21) days to the date of that meeting. Such notice must disclose the business to be transacted, the day, place and hour of the meeting.
27.4 The Captain shall preside at all meetings of the Club or in his absence, the Vice-Captain shall preside and in the absence the Vice-Captain, the 2nd Vice-Captain shall preside and in the absence of both officers, the meeting shall be presided over by a member of the Executive Committee elected at the Meeting.
27.5 A Half-yearly General Meeting of the Club shall be held each year but not earlier than

six months after the holding of the Annual
General Meeting.
27.6 The Annual General Meeting shall be held at
a time and place that the Executive committee may determine.
27.7 Only financial member(s) can to vote or be
voted for

ARTICLE 28: AGENDA AT GENERAL MEETING
28.1 The agenda of the Annual General Meeting shall be posted on the notice board of the club for at least seven (7) days before the set date for the meeting.
28.2 The last subject on the agenda of the meeting shall be Any Other Business (AOB).
ARTICLE 29:
29.1 Disciplinary Committee
.1 A Disciplinary Committee of five (5) paid-up members of good standing and reputation in the Club, three (3) of whom shall form a quorum shall be appointed by members at the Annual General Meeting or Half Yearly General Meeting.
.2 Such members of the committee must have been paid up members for at least five (5) years.
.3 The Disciplinary Committee shall try all matters relating to reported cases of misconduct or acts of indiscipline committed by any member.
.4 The Disciplinary Committee shall invite all parties and witnesses to the dispute and hear their submission before taking a decision.
.5 The Disciplinary Committee shall make a recommendation which shall be communicated to the Executive Committee.
.6 The decision of the Executive Committee shall be communicated to the erring member.
.7 The aggrieved member(s) may appeal to the Board of Trustees (BOT) within seven (7) days of the receipt of the decision of the Executive Committee.
.8 Save for expulsion, the decision of the Board of Trustees (BOT) is final.
29.2 Suspension
A member may be suspended from the Club if he/she contravenes the Constitution,

Rules, Etiquette and Code of Conduct of the Club in any of the following areas:
.1 Financial impropriety
.2 Cheating and falsification of results in
any competition in the club or in any
other club in and outside Nigeria.
.3 Misbehavior on the course and in the
Clubhouse/ premises
.4 Stealing
.5 Inability to adhere to the rules and regulations of the Club
29.3 Expulsion
Without prejudice to any other circumstances under which a member may be expelled from the Club, a member shall be expelled from the club in any of the following circumstances:
.1 has been convicted of a serious criminal offence by court or tribunal of competent jurisdiction in or out of Nigeria
.2 is adjudged guilty of assault on any member or person within the precincts of the club by the Disciplinary Committee.

 

ARTICLE 30:
.3 has been suspended on two (2) different occasions by the Disciplinary Committee.
.4 is found to have given false information about himself to the club which may have induced or influenced his admission as a member of the Club.
.5 Members at the Annual General Meeting shall have the final right to confirm or reverse the decision of the Executive Committee and the decision of members at the Annual General Meeting shall be final.
AMENDMENT OF CONSTITUTION
30.1 The Constitution of the Club shall not be altered, amended or repealed save for by a two-thirds (2/3) majority of the members present at the Annual General Meeting.
30.2 A twenty-one (21) days notice of intention to propose any amendment shall be given to the Secretary, who shall place such a proposal on the Club’s notice board.
